For a new business venture in Pakistan, a Private Limited Company gives you the strongest legal footing. The Securities and Exchange Commission of Pakistan (SECP) is the regulator for company registration, corporate governance and corporate filings, and most of the process now runs online.
Whether you are launching a software startup, an import-export business or a manufacturing unit, moving from a sole proprietorship to a company opens up commercial options. This guide walks through registering a Private Limited Company with the SECP online: naming rules, documents, fees, and the FBR steps that follow.
Why Incorporate a Private Limited Company?
The main benefit is limited liability. A registered company is a separate legal entity, so the personal assets of its shareholders and directors are generally protected from the company’s debts and lawsuits.
A Private Limited status also adds credibility. Banks, suppliers and government buyers often prefer to deal with registered companies. It also makes it easier to raise capital, issue shares among co-founders and structure the business for tax planning under current law.
Step 1: Reserve Your Company Name
The first step is a unique name that meets the requirements of the Companies Act, 2017. The SECP will reject a name that duplicates an existing company, includes prohibited or sensitive words, or misleads the public about what the company does. Apply for name reservation through the SECP’s online system (eServices/eZfile). Prepare more than one option, since your first choice may not be approved. Once the registrar accepts a name, it is reserved for a limited period while you complete incorporation. Check the SECP’s current rules for the exact reservation period and fee.
Step 2: Prepare the Memorandum and Articles of Association
- Memorandum of Association (MoA): the main document that sets out the company’s objects, its authorised share capital and the liability of its members.
- Articles of Association (AoA): the internal rulebook: how directors are appointed, how board and general meetings are held, shareholders’ voting rights and how shares are transferred.

Step 3: Fill In the Online Incorporation Forms
With your name reserved and your MoA and AoA ready, complete the incorporation application online. You will need:
- The exact address of the registered office.
- The authorised and paid-up capital.
- Details of at least two directors for a private company: CNIC numbers, mobile numbers, email addresses and residential addresses.
- Digital signatures or the authentication method the portal requires from the directors.
Enter every detail carefully. A small mismatch is a common reason for rejection.
Step 4: Pay the Fees and Submit
After you complete the forms, the system generates a fee challan. The amount depends on your authorised share capital, and the SECP accepts online payment options as well as bank payment. Check the current fee schedule on the SECP website before you file.
The application then goes to the relevant Company Registration Office for review. If everything is in order, the SECP issues the Certificate of Incorporation, a Corporate Universal Identification Number (CUIN) and certified copies of the MoA and AoA. Processing times vary, so confirm the current turnaround with the SECP.
After Incorporation: FBR Registration and Banking
The Certificate of Incorporation is a milestone, but your compliance has just started. Your company needs a National Tax Number (NTN) and must be active with the FBR. Then open a bank account in the exact name of the company. Banks usually ask for the certified incorporation documents, a board resolution and the directors’ CNICs. Running all business transactions through this account keeps your books clean for tax and audit purposes.
