Form A is the Annual Return which every company with share capital has to file with the SECP every year – which is separate to your annual financial statements (Form 45) and separate to Form 29 (which covers changes to directors) – where Form 45 is your finances and Form 29 is who runs the company, Form A is your company’s ownership structure – who has shares, how many, anything changed since the last filing.

What Form A Actually Covers

  • Registered office address and company details as they currently stand
  • Share capital structure – authorised and paid-up capital
  • A full list of members/shareholders and their shareholding
  • Details of directors and the company secretary, cross referenced against your latest Form 29

It’s essentially a snapshot of the company as of a specific date every year that is filed so SECP’s records are current.

Who Needs to File It

Any private limited company or public company with share capital registered with SECP – Single Member Companies (SMCs) and companies limited by guarantee without share capital have different, simpler requirements – check with us if you’re unsure which category your company falls into.

When It’s Due

Form A is filed annually (calculated from your company’s date of incorporation or the anniversary of your last annual return) – not tied to your financial year end in the way Form 45 is – missing this deadline accrues penalties that increase the longer the return stays outstanding – so it’s worth tracking separately to your tax return calendar rather than assuming one deadline covers both.

Form A vs. the Other Common SECP Forms

  • Form A – annual return, shareholding and company structure
  • Form 29 – particulars of directors, chief executive, and officers, filed whenever there’s a change
  • Form 45 – annual financial statements

These three cover different things and are filed on different triggers (Form 29 only when something changes, Form A and Form 45 annually) – so it’s common for a company to be current on one and overdue on another without realising it.
