A Public Limited Company is the right structure specifically when you need access to public capital markets — not just “a bigger version” of a Private Limited Company.
What Makes Public Limited Different
Unlike a Private Limited Company (2-50 shareholders, no public share trading), a Public Limited Company can offer shares to the general public and, if listed, trade on the Pakistan Stock Exchange. This comes with materially heavier disclosure, governance, and compliance obligations under the Companies Act, 2017 — it’s not a decision to make purely for prestige.
Minimum Requirements
- Minimum 3 directors (vs. 1 for an SMC, 2 for Private Limited).
- Minimum 7 shareholders for a listed public company (unlisted public companies have different thresholds — confirm current SECP requirements before proceeding).
- Higher minimum capital requirements than private structures, particularly for listed companies.
Registration Process
- Reserve your company name through SECP e-Services, same as any company structure.
- Prepare Memorandum and Articles of Association reflecting the public company structure.
- File incorporation documents with SECP, including director/shareholder details meeting minimum thresholds.
- Receive Certificate of Incorporation and NTN.
- If pursuing listing, separately engage with the Pakistan Stock Exchange’s listing requirements — incorporation as a public company doesn’t automatically mean you’re listed.
Ongoing Compliance Burden
Public companies face significantly more SECP reporting than private ones — more frequent disclosures, stricter audit requirements, and (if listed) PSX and SECP’s public-company-specific governance codes. This ongoing overhead is the real cost of the structure, beyond the incorporation process itself.
When This Structure Actually Makes Sense
If your genuine goal is raising capital from the public or eventually listing on PSX, a Public Limited Company is the right vehicle.
