A sole proprietorship in Pakistan doesn’t actually require registration with SECP the way a company does — it’s an unincorporated business where you and the business are the same legal entity. What a Sole Proprietorship Actually Is
Unlike a private limited company, a sole proprietorship has no separate legal identity from its owner — you’re personally liable for all business debts and obligations, and business income is simply your personal income for tax purposes. There’s no SECP incorporation step because there’s no separate legal entity being created.
The Real Registration Requirement: NTN
What you actually need is an NTN (National Tax Number) registered specifically as a sole proprietor business, done through FBR’s IRIS portal. This links your business activity to your existing individual NTN and lets you operate under a business name for invoicing and banking purposes.
Documents You’ll Typically Need
Generally required: your CNIC, proof of business address (utility bill or rent agreement), a business name, and details of the nature of your business activity. Some banks and clients will also ask for a letterhead or bank account opened specifically in the business name once you’re registered.
When You Also Need Sales Tax Registration
If you’re selling taxable goods or providing taxable services above the relevant threshold, you’ll need to separately register for sales tax — either with FBR for goods, or with the relevant provincial revenue authority for services. This is a distinct step from NTN registration, not automatic.
Sole Proprietorship vs. Registering a Company
A sole proprietorship is faster and cheaper to set up since there’s no SECP incorporation step, but it comes with unlimited personal liability and can look less credible to larger clients or lenders than a registered company. If you’re planning to scale, take on investors, or limit personal liability, converting to a private limited company later is common — but plenty of small businesses operate successfully as sole proprietors indefinitely.
