Form A is the annual return every company registered in Pakistan must file with SECP — it’s not optional paperwork, it’s the yearly compliance filing that keeps your company’s official record current. Missing it triggers penalties that grow the longer it stays unfiled.

What Form A Actually Is

Form A is the Annual Return under the Companies Act 2017, filed with SECP once a year, containing your company’s registered office address, current directors and their shareholding, share capital structure, and a list of members as of the return date. It’s essentially SECP’s yearly snapshot of who owns and runs your company.

Who Needs to File It

Every company incorporated in Pakistan — private limited, public limited, and single member companies alike — must file Form A annually, regardless of whether the company is actively trading or dormant. A company with zero business activity still owes this filing as long as it remains registered with SECP.

When It’s Due

Form A must be filed within 30 days of the company’s Annual General Meeting (AGM), or within 30 days of the date the AGM should have been held if one wasn’t. This ties Form A’s deadline directly to your AGM schedule, so keeping your AGM date on track matters for this filing too.

What Information Goes Into It

The form captures the registered office address, particulars of directors and the company secretary (if applicable), authorized and paid-up capital, and a full list of members with their shareholding as of the return date. Any changes to directorship or shareholding since the last Form A need to be reflected accurately.

Penalties for Late or Missed Filing

SECP imposes penalties for late filing that increase the longer the delay continues, and prolonged non-compliance can affect the company’s active status on SECP’s register, eventually risking a strike-off for companies that ignore filing obligations entirely. Filing on time, even for a dormant company, is far cheaper than the accumulated penalties of catching up later.
