How to Register a Private Limited Company in Pakistan

Step 1: Reserve Your Company Name

Check name availability and reserve it through SECP’s online portal before proceeding — a name that’s too similar to an existing registered company will be rejected, so it’s worth checking early rather than building your branding around an unavailable name.

Step 2: Prepare Incorporation Documents

You’ll need the Memorandum of Association (MoA) and Articles of Association (AoA) — these define your company’s objectives and internal governance rules — along with director/shareholder CNICs, registered office address, and details of share capital and its distribution among shareholders.

Step 3: File for Incorporation

Submit the incorporation documents through SECP’s eServices portal. Once approved, you receive your Certificate of Incorporation and CUIN (Company Universal Identification Number) — this is the point at which your company legally exists as a separate entity.

Step 4: Get Your NTN

Register the newly incorporated company with FBR for its own NTN — required before you can open a business bank account or start operating formally.

Step 5: Open a Corporate Bank Account

Banks require your Certificate of Incorporation, MoA/AoA, and NTN to open a company account — plan for this to take a bit longer than a personal account due to the additional compliance checks banks run on corporate accounts.

Step 6: Ongoing Compliance

Incorporation isn’t a one-time task — private limited companies have ongoing SECP filing requirements (annual returns, financial statements) and FBR filing requirements (annual income tax return, potentially withholding statements if you have employees or make payments subject to withholding).
